These General Terms of Service (the "GTS") govern the contractual relationship between Trublion and any independent bookstore (hereinafter the "Bookseller") that subscribes to Trublion's services in order to publish book recommendations, selections, events and other content for its readers.
Registration for the Service constitutes full and unreserved acceptance of these GTS and of the Privacy Policy.

The Service is reserved for independent physical bookstores with a point of sale open to the public. Trublion reserves the right to refuse or terminate the registration of a Bookseller whose activity does not meet this definition.
Registration is completed online. The Bookseller's identity is verified by a magic link sent by email to a professional address, or by manual verification by the Trublion team when circumstances require it.
Acceptance of these GTS and of the Privacy Policy is carried out in an explicit and recorded manner at registration. Each acceptance generates a timestamped record (date, IP address, technical browser identifier), retained for evidentiary purposes.
New registrations benefit from a free trial period, the duration of which is specified on the pricing page at the time of registration. At the end of this period, access to the Service automatically switches to the paid subscription corresponding to the chosen plan, unless the Bookseller cancels beforehand.
The Service is offered at the prices in force displayed on the pricing page. Prices are stated in euros excluding tax, with French VAT at the applicable rate added for Booksellers established in France. For Booksellers established in another Member State of the European Union, the intra-community VAT rules applicable to services between taxable persons apply (reverse charge), subject to the Bookseller providing a valid intra-community VAT number.
Two payment frequencies are available: monthly and annual. Annual pricing benefits from a discount compared to the equivalent cumulative monthly amount.
Payments are processed via the payment provider Mollie B.V. (Netherlands, licensed by De Nederlandsche Bank). Subscribing to a paid plan constitutes the signing of a recurring SEPA direct debit mandate, which authorises Trublion to collect the amounts due at the agreed due dates. The mandate is set up and retained by Mollie on behalf of Trublion.
Switching from a monthly subscription to an annual subscription is possible at any time. It takes effect immediately and gives rise to a supplementary charge calculated on a pro-rata basis for the remaining period. In the event of failure of the supplementary charge, the plan change does not take effect and the Bookseller retains their monthly plan.
Switching from an annual subscription to a monthly subscription is not permitted during an ongoing annual commitment. At the annual renewal date, the Bookseller may choose to switch to the monthly plan for the following period.
Mollie does not make a new attempt in the event of a failed direct debit. Trublion then applies a grace period ("PAST_DUE") during which access to the Service is maintained and the Bookseller is informed by email and within the web application. During this period, the Bookseller's public showcase page remains accessible to readers without modification. Upon expiry of the grace period, Trublion may suspend access to the Service until the situation is rectified, without prejudice to its right to terminate the contract in the event of persistent non-payment.
An invoice is issued at each due date and sent to the Bookseller by email. Invoices are also accessible from the web application. Trublion may use dematerialisation providers compliant with the applicable regulations, namely the Irish e-invoicing requirements and the equivalent reforms in other EU Member States; any such change does not affect these GTS.

Trublion reserves the right to remove any content published by the Bookseller that does not comply with these GTS or applicable legislation, without prejudice to any contractual or legal consequences that may follow.

The Service is provided on a best-efforts basis. Trublion does not guarantee uninterrupted or error-free operation.
The Bookseller retains full ownership of the content they publish via the Service (reviews, texts, photographs, settings). They grant Trublion a non-exclusive, royalty-free licence for the duration of the contract, allowing Trublion to reproduce, store, technically adapt and distribute such content strictly within the scope of the operation of the Service.
The Trublion application, its design, brand, logos, databases and all elements comprising the Service are the exclusive property of Trublion. Any unauthorised reproduction or use is prohibited.
In accordance with Article 16 of Regulation (EU) 2022/2065 (Digital Services Act), the Service makes available to any person a content reporting form accessible at /signaler-contenu, as well as a dedicated email address abuse@trublion.co.
Where a report results in the removal of content published by the Bookseller, Trublion sends the Bookseller a statement of reasons in accordance with Article 17 of the same regulation. The Bookseller may contest this decision by replying to the same address.
Trublion may, in compliance with Article 23 of the Digital Services Act, temporarily suspend the account of a Bookseller who manifestly and repeatedly publishes unlawful content, following a prior warning.
The personal data processing operations carried out in the context of the Service are described in the Privacy Policy.
Trublion determines the purposes and means of the data processing operations carried out via the Service and acts as data controller within the meaning of Article 4.7 of the GDPR. The list of sub-processors used by Trublion (hosting, payment, transactional email, push notifications) is specified in the Privacy Policy.
The contract is concluded for the duration of the subscribed plan (monthly or annual), tacitly renewable on the same terms.
The Bookseller may terminate the contract at any time from the web application. Termination takes effect at the end of the current period. No refund is due for the period already commenced, except where required by mandatory legal provisions.
Trublion may terminate the contract with thirty (30) days' notice. In the event of a serious breach of these GTS (including repeated publication of unlawful content, persistent non-payment, fraudulent use), Trublion may terminate the contract without notice, after a formal notice has remained without effect for eight (8) days.
Upon termination, access to the web application is deactivated and the Bookseller's public showcase page is unpublished as soon as reasonably practicable. The Bookseller may, within thirty (30) days following termination, request the export of their published content (recommendations, selections, events) in a structured format. Beyond that period, data is anonymised under the conditions set out in the Privacy Policy, with the exception of invoices and consent records retained in accordance with legal obligations.
Trublion's liability, for all losses combined, is limited to the amounts actually paid by the Bookseller for the Service during the twelve (12) months preceding the event giving rise to the claim. Trublion cannot be held liable for indirect damages, loss of revenue, loss of customers, loss of data or reputational harm resulting directly or indirectly from the use of or inability to use the Service.
This limitation does not apply in cases of gross negligence or wilful misconduct by Trublion, nor in cases of personal injury.
Trublion's liability cannot be engaged in the event of a failure resulting from a force majeure event within the meaning of applicable law, namely Article 1218 of the French Civil Code and applicable French case law.
Trublion reserves the right to assign this contract, in whole or in part, in the context of a business transfer, merger, partial asset contribution or restructuring. The Bookseller will be informed within a reasonable period and may, where applicable, terminate the contract if the assignment materially alters their rights.
Trublion reserves the right to amend these GTS. Any material amendment is brought to the attention of Booksellers by means of a banner within the bookseller web application, accompanied by a changelog specifying the nature of the amendments. Continued use of the Service after explicit acceptance of the new version constitutes acceptance of the new terms. Previous versions are archived by Trublion for evidentiary purposes.
These GTS are governed by applicable law, namely French law. Any dispute relating to their interpretation or performance falls within the jurisdiction of the competent court, namely the competent courts of Paris (France).
Automatic translation. In case of discrepancy, the French version shall prevail.
